POSITION TITLE: Associate General Counsel - Corporate

 

LOCATION: Alpharetta, GA (On-site; Hybrid)

 

DESCRIPTION:

 

Reporting to Mativ’s Deputy General Counsel and Assistant Corporate Secretary, the Associate General Counsel - Corporate (AGC) will provide legal support across a broad range of matters with a balanced focus on (a) general corporate matters (securities, corporate governance, finance / accounting / treasury support) (b) commercial and business-unit support (complex commercial agreements, litigation support, and guidance to business units). The AGC will collaborate closely with internal clients across Sales, Procurement, Operations, Finance, and HR, and will also support core public-company governance processes, including SEC reporting support, corporate policies, and subsidiary governance. This is a hands-on, execution-oriented role, and the ideal candidate will be comfortable partnering with cross-functional stakeholders, managing multiple priorities, and delivering practical, business-forward counsel. The position will be based out of Mativ’s headquarters in Alpharetta, Georgia.

 

RESPONSIBILITIES:

 

General Corporate (Approx. 50%)

  • Support public-company governance and disclosure processes by assisting with the preparation and review of SEC filings (e.g., Form 10-K, 10-Q, 8-K, proxy materials) under the direction of the DGC and in coordination with Finance and external counsel.
  • Assist with corporate secretarial and governance matters, including drafting or updating resolutions, maintaining corporate records, supporting Board/committee materials, and helping track key governance calendars and deliverables.
  • Help monitor and support compliance with SEC/NYSE requirements, internal governance policies, and disclosure controls and procedures.
  • Assist with administration of corporate policies (e.g., Code of Conduct-related legal support, insider trading policy support, disclosure policy support, records retention, contract approval/delegation-of-authority interfaces as applicable).
  • Support subsidiary governance and entity management tasks (formation/maintenance, intercompany documentation support, annual filings, officer/director updates) with internal partners and service providers.
  • Provide legal support on special projects, which may include discrete M&A, financing, or strategic initiatives—primarily through diligence support, issue spotting, and drafting assistance under supervision.

 

Commercial & Business Unit Support (Approx. 50%)

  • Draft, review, and negotiate a wide range of complex commercial agreements, including supply agreements, customer terms, distribution/agent agreements, manufacturing/processing agreements, services/SOWs, licensing, strategic sourcing/vendor agreements, and confidentiality agreements.
  • Advise business units on commercial risk, contract interpretation, performance disputes, and practical escalation paths (e.g., claims, credits, remedies, termination strategy).
  • Support legal review for new products, go-to-market initiatives, and customer programs, including review of standard terms, template updates, and process enhancements that improve speed while managing risk.
  • Coordinate with internal stakeholders (Procurement, Quality, EHS, IT, Security, Finance) to ensure contracts align with company policies and compliance requirements.
  • Help manage select commercial disputes pre-litigation, including demand letters, settlement support, and coordination with outside counsel when required.

 

QUALIFICATIONS:

 

Required

  • Juris Doctor (J.D.) from an accredited law school.
  • Active bar membership in good standing in at least one U.S. jurisdiction.
  • 5+ years of relevant legal experience, including a meaningful combination of (a) commercial contracting/transactions (in-house and/or law firm), and (b) exposure to corporate / securities / governance matters (public-company experience preferred but not required if foundational exposure exists).
  • Demonstrated ability to draft and negotiate complex agreements and provide practical, business-oriented counsel.
  • Strong organizational skills with the ability to manage multiple matters and deadlines in a fast-paced environment.

 

Preferred

  • In-house experience supporting manufacturing, industrials, specialty materials, or global operations.
  • Familiarity with public-company governance (SEC reporting, proxy process, Board/committee support).
  • Experience with international contracting considerations (e.g., cross-border terms, basic trade compliance awareness, distributor/agent relationships).

 

Travel: Ability to travel as needed (estimated 10%, including occasional international travel).
